1. Introduction
1.1 These Terms of Use (“Terms”) govern your access to the GoAlpha mobile and web platform (“Platform”/ “GoAlpha”), operated by AI Growth Services Private Limited (“AIGSPL”, “we”, “us”, “our”).
1.2 All research, signals, recommendations, quantitative/model outputs and related regulated content displayed on the Platform are authored and approved solely by an independent SEBI-registered Research Analyst (“Research Provider(s)”). The identity of the Research Provider for each model or research product is clearly disclosed within the relevant model page or research detail section .
“IT IS ALSO CLARIFIED THAT GoAlpha does not employ, supervise, monitor or control any Research Analyst and does not issue or modify research…..”
1.3 By accessing or using the Platform, the user (“you”, “your”) accepts these Terms and all accompanying policies, including the Privacy Policy, Disclosures & Risk Statement, and Legal Notices.
1.4 If you do not agree with any provision, please discontinue use of the Platform.
1.5 For the purposes of these Terms and all accompanying policies etc. displayed on Platform, expression “Broker Gateway” means a third-party connectivity infrastructure that enables users to link their existing trading accounts with supported brokers for viewing portfolio data, receiving trade execution confirmations and accessing broker-controlled execution interfaces. The Broker Gateway operates independently of AIGSPL. AIGSPL/GoAlpha does not directly integrate with brokers.
2. Roles and Responsibilities
2.1 AIGSPL (GoAlpha)
Operates the digital app and website interface;
Facilitates user registration, login, and overall platform experience;
Facilitates only the technical interface through which a user’s KYC information is submitted directly to the SEBI-registered Research Analyst responsible for issuing the research (“Research Provider(s)”). AIGSPL does not collect, store, review, process, or verify any KYC documents or KYC information at any stage.
Facilitates payments through licensed payment gateways/aggregators;
Hosts market data, screeners, analytics, news feed etc.;
Broker Connectivity Through Gateway: Broker connectivity is enabled through a Broker Gateway that provides a secure and standardised interface for linking supported broker accounts. The Platform does not directly integrate with broker APIs nor does it have any technical capability to initiate, modify, or execute orders.
It is clarified that the Platform does not:
• assess suitability, appropriateness or financial profile of any user.
• directly integrate with brokers;
• receive or store broker login credentials;
• initiate, modify, cancel or exercise discretion over any broker order. GoAlpha may receive broker-provided execution status and post-trade data solely for display, reconciliation and audit purposes;
• route, initiate, modify, or execute orders;
• influence trades or access broker systems.
All order placement and execution occur solely on the user’s broker platform through the Gateway’s interface. GoAlpha has no technical ability to initiate or execute orders with any broker, whether through the Gateway or otherwise;
Stores Platform Data, App Usage Data and Subscription Data.
AIGSPL is not a SEBI-registered intermediary, does not issue research, does not provide investment advice, and does not execute trades. Furthermore, it is reiterated that GoAlpha does not employ, supervise, monitor or control any Research Analyst and does not issue or modify research.
2.2 Research Provider: The SEBI-registered Research Analyst (“Research Provider(s)”) is solely responsible for generating, reviewing, approving and publishing all research content and signals made available on the Platform. The Research Provider independently stores and retains all KYC records required under applicable law, maintains complete research audit trails in accordance with the SEBI (Research Analysts) Regulations, 2014, as amended from time to time and the SEBI Circular(s) for Research Analysts including Master Circular as issued from time to time, and ensures adherence to all regulatory, compliance and disclosure obligations. The Research Provider is the only regulated entity accountable for the accuracy, completeness and regulatory compliance of any research displayed on the Platform.
2.3 Separation of Responsibilities
Nothing on the Platform shall be construed as AIGSPL issuing, modifying, endorsing or supervising research authored and issued by the Research Provider(s).GoAlpha performs no review, validation, modification, supervision, or approval of any research output, research report, quantitative signal, or recommendation. All such functions are performed exclusively by Research Provider(s) as required under SEBI (Research Analyst) Regulations, 2014, as amended from time to time.
It is also clarified that Research Provider(s) does not operate the Platform and does not process any Platform Data, except KYC and subscription-validation metadata necessary for regulatory compliance.
3. Eligibility
3.1 You must be:
(a) at least 18 years old;
(b) a resident of India;
(c) legally competent to contract; and
(d) willing to undergo KYC verification before subscribing to regulated research.
3.2 User Representations
By using the Platform, you represent and warrant that:
(a) All information provided during registration is true, accurate, and complete;
(b) You will maintain the accuracy of such information;
(c) You are not prohibited from using the Platform under any applicable laws;
(d) You understand the risks associated with securities trading and investment;
(e) You have the financial capacity to bear potential losses from investment activities;
(f) You will not use the Platform for any unlawful purpose or in violation of these Terms.
4. Services Available on GoAlpha
4.1 The Platform provides following services inter alia:
(a) User registration and profile creation;
(b) KYC facilitation through a secure document-collection mechanism that transmits documents directly to the Research Provider(s), with no storage or access by AIGSPL; all KYC verification is conducted solely by the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research ;
(c) Subscription/ purchase for Research Provider’s research;
(d) Access to model-based signals and insights authored by Research Provider It is reiterated that all research, signals, recommendations, quantitative/model outputs and related regulated content as displayed on the Platform are authored and issued solely by the SEBI-registered Research Analyst responsible for issuing the research (“Research Provider”). GoAlpha does not generate, verify, or endorse any research;
(e) Portfolio import and analytics (execution-linked, non-discretionary);
(f) Market data, news feed, analytics and screeners;
(g) Access to your broker’s execution environment is provided through the Broker Gateway’s deep-linking interface for self-directed trading. The Platform does not generate or control this linkage.
4.2 GoAlpha/AIGSPL does not:
provide investment advice or portfolio management service(s);
solicit trades;
handle user’s funds/securities;
execute or route trades;
influence, modify or approve research.
provide any automated or assisted trading functionality.
5. Account Creation and Verification
5.1 You must register using accurate personal details.
5.2 KYC Requirement for Access to Research: Access to any SEBI-regulated research, research reports, signals, model outputs or related content on the Platform is strictly subject to completion of KYC in accordance with SEBI RA Regulations, PMLA requirements and other application SEBI regulations on subject. Subject to applicable SEBI norms on subject, until KYC is successfully completed and approved by the concerned SEBI-registered Research Analyst, users shall not be permitted to access such research content. All KYC data and records are collected, processed and stored exclusively by the Research Provider(s). GoAlpha does not collect or retain KYC documents.
5.2 A KYC document collection is facilitated through a digital onboarding platform integrated into the GoAlpha interface. All KYC verification and approval decisions are made exclusively by the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research in accordance with SEBI RA Regulations and PMLA requirements.
5.2B The document collection platform provides technical infrastructure, inter alia to:
Capture identity documents (PAN, Aadhaar, address proof, photographs)
Enable users to initiate document retrieval from services such as DigiLocker or UIDAI through the designated collection mechanism, without GoAlpha accessing or connecting to such systems directly
Perform optical character recognition (OCR) and data extraction
Securely transmit documents to the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research for verification
The platform does NOT make verification decisions, assess document authenticity, or determine KYC acceptance/rejection. These functions are performed exclusively by the Research Provider's compliance team.
5.3 Full KYC documents (PAN, Aadhaar XML, address proof, photos, etc.) are stored exclusively by the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research.
5.4 AIGSPL retains only KYC reference ID, status and timestamp for user experience and compliance status display.
5.5 You consent to the secure transfer of your KYC documents directly to the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research.
5.6 You acknowledge that failure to complete KYC verification may result in restricted access to regulated research content and certain Platform features.
5.7 KYC Verification Process
(a) KYC verification may take up to 48-72 business hours from document submission.
(b) Access to Research Services may be restricted until KYC is successfully completed and approved by the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research.
(c) You may access free Platform features during the KYC verification period.
(d) We reserve the right to request additional documents or information for KYC completion.
5.8 KYC Rejection and Re-submission
(a) If your KYC application is rejected, you will be notified with reasons.
(b) You may re-submit KYC documents after rectifying deficiencies.
(c) Repeated failed KYC attempts may result in temporary account suspension.
5.9 Ongoing KYC Obligations
(a) You must promptly update your KYC information if there are material changes (address, contact details, PAN, etc.).
(b) We may periodically request KYC re-verification as per regulatory requirements.
(c) Failure to complete re-verification may result in service suspension until compliance.
5.10 Account Verification Levels
The Platform may offer tiered access based on verification status:
- Level 1 (Email/Mobile verified): Access to free content, screeners, market data
- Level 2 (Basic KYC): Access to certain Platform Services
- Level 3 (Full KYC): Access to all Research Services and premium features
Specific tier requirements will be displayed on the Platform.
5A. Account Security and User Obligations
5A.1 Account Credentials
(a) You are solely responsible for maintaining the confidentiality of your username, password, PIN, OTP, and any other authentication credentials.
(b) You must use strong passwords and enable two-factor authentication (2FA) if available.
(c) You must not share your credentials with any third party or allow unauthorized access to your account.
5A.2 Unauthorized Access
(a) You must immediately notify us at support@goalpha.in if you suspect unauthorized access, credential theft, or suspicious activity on your account.
(b) We will investigate and may temporarily suspend your account for security reasons.
(c) You are responsible for all activities occurring under your account until you notify us of unauthorized access.
5A.3 Account Responsibility
(a) You are responsible for all actions taken through your account, whether authorized by you or not, until you report compromise.
(b) We are not liable for losses arising from unauthorized use of your account due to your failure to secure credentials.
5A.4 Session Management
(a) Active sessions will timeout after a period of inactivity for security.
(b) You should log out after each session, especially on shared or public devices.
(c) We may limit the number of concurrent sessions or devices.
5A.5 Suspicious Activity Monitoring
(a) We monitor for suspicious login patterns, unusual activity, and potential fraud.
(b) We may require additional verification (OTP, security questions) for suspicious transactions.
(c) Accounts exhibiting fraudulent activity will be immediately suspended pending investigation.
6. Data Handling & DPDP Act Compliance
(Full details in Privacy Policy)
6.1 Two buckets of data exist:
Bucket 1 — KYC Data (Stored only by the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research)
PAN, Aadhaar XML, ID proofs, signature, selfies, address proof
KYC verification logs, audit trails and PMLA artifacts
Any sensitive identity document
AIGSPL does NOT store or retain this data.
Bucket 2 — Platform Data (Stored by AIGSPL)
Registration data (name, email, mobile)
Login credentials (hashed)
App usage & behavioural data
Portfolio data & Transaction metada (if you consent). Such data is processed solely for platform display, performance computation, reconciliation, audit logging and regulatory compliance, and not for personalised investment advice.

6.2 All platform data processing is done under the DPDP Act 2023 lawful ground of “consent” and “performance of service.”
6.3 Users retain rights to access, correction, erasure and withdrawal of consent.
7. Payments and Subscriptions
7.1 Subscription Plans and Pricing
The Platform offers various subscription plans and service packages. Current pricing, features, billing cycles, and terms are available on the Platform and may be modified from time to time at our discretion. You should review the applicable pricing information on the Platform before making any purchase.
7.2 Payment Authorization
By subscribing to any service on the Platform, you authorize the relevant service provider to charge the applicable fees to your chosen payment method through the integrated payment gateway. All payments are processed through third-party payment service providers licensed under applicable RBI regulations.
7.3 Service Categories and Payment Allocation
The Platform facilitates access to: (a) Research services, trading signals, and regulated content ("Research Services"); and (b) Platform features, technology services, analytics tools, and other non-research features ("Platform Services").
Fees for Research Services are payable to the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research) which shall be subject to fee guidelines specified by the SEBI or RAASB from time to time. Fees for Platform Services are payable to AI Growth Services Private Limited. The pricing for each service category is determined independently by the respective service provider and displayed separately on the pricing page.
7.4 Payment Terms
(a) All fees are exclusive of applicable taxes (including GST) unless expressly stated otherwise.
(b) Applicable taxes and statutory levies will be displayed before payment confirmation.
(c) You agree to pay all fees as per the plan selected.
(d) Payment must be completed through the payment methods made available on the Platform.
7.5 Billing and Subscription Renewals
(a) Subscriptions may be offered on various billing frequencies (monthly, quarterly, annually, or as specified).
(b) Where auto-renewal is applicable, you will be notified in advance and charged accordingly unless you cancel before the renewal date.
7.6 Refunds and Cancellations
(a) Refund and cancellation policies are service-specific and plan-specific.
(b) Research Services are subject to the refund policy of the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research.
(c) Platform Services (other than regulated content i.e. research) are subject to the refund policy of AIGSPL.
(d) Applicable refund terms will be displayed on the Platform at the time of purchase.
(e) All refund requests are subject to verification and approval by the relevant service provider.
(f) Refunds, if approved, will be processed within 10-15 business days to the original payment method.
7.7 Modification of Fees
(a) The service providers reserve the right to modify subscription fees, pricing structures, and plan features at any time.
(b) Fee modifications for Research Services will be notified by the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research; fee modifications for Platform Services (other than regulated content i.e. research) will be notified by AIGSPL.
(c) Changes to fees will not affect your active subscription until the next renewal cycle, unless you are notified otherwise.
(d) Continued use of the Platform after fee modifications constitutes acceptance of the revised fees.
7.8 Payment Failure and Suspension
(a) In case of payment failure, declined transactions, or chargebacks, your access to paid features may be immediately suspended.
(b) Service providers reserve the right to terminate subscriptions for non-payment.
(c) You remain liable for all outstanding fees.
7.9 Receipts and Invoices
Electronic receipts and tax invoices will be issued by the respective service provider (the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research for Research Services; AIGSPL for Platform Services) and made available through your account dashboard or sent to your registered email.
7.10 No Refund for Partial Usage
Unless expressly stated in the applicable refund policy, fees paid for any billing cycle are non-refundable, regardless of actual usage or whether you access the services during that period.
8. Broker Linking & Portfolio Import
8.1 Linking your broker account is optional and requires explicit consent.
8.2 The Platform receives portfolio and holdings data made available through the Broker Gateway, subject to your consent.
8.3 The Platform has no capability to place, modify, cancel or route orders..
8.4 AIGSPL does not route or handle your orders.
8.5 AIGSPL does not share raw holdings with the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research unless explicitly consented by you. Sharing of holdings with the Research Provider (if enabled by you) shall not be used for providing personalised research, suitability assessment, or tailored recommendations.
8.6 Broker account linking is facilitated exclusively through a Broker Gateway. The Platform does not store broker login credentials, PINs, passwords, session tokens, OAuth keys, or any sensitive authentication data. All authentication and session management are handled by the Gateway and the respective broker.
8.7 Data Accuracy and Limitations
(a) Portfolio data made available through the Broker Gateway is displayed ‘as-is’ and may be subject to latency or inaccuracy originating at the broker or the Gateway.
(b) We are not responsible for errors, omissions, or delays in broker-provided data.
(c) Discrepancies should be verified directly with your broker.
(d) Corporate actions (splits, bonuses, dividends) may not be immediately reflected.
8.8 Broker connectivity may be disrupted due to Gateway-side or broker-side technical issues, maintenance activities, or changes in their respective API policies. The Platform does not control these systems and is not responsible for connectivity interruptions, latency, or data unavailability.
8.9 Unlinking Broker Accounts
(a) You may unlink your broker account at any time through ‘Profile → Control Center → Linked Brokers’ on mobile App /settings.
(b) Unlinking will revoke our access to your broker data immediately.
(c) Previously collected data may be retained for such period as is necessary to provide platform functionality, maintain audit trails, resolve disputes, comply with legal obligations and regulatory requirements, after which it will be securely deleted or anonymised, unless deletion is requested and such deletion is permissible under applicable law.
8.10 No Order Routing or Execution
(a) Deep-linking to broker platforms is provided solely for your convenience. Such deep-linking is enabled exclusively through the Broker Gateway; GoAlpha does not generate or manage deep-linking URLs or authentication sessions.
(b) All trade execution, order placement, and fund transfers occur exclusively on your broker's platform.
(c) Trade execution quality, pricing, and settlement are governed by your broker's terms.
9. Permitted & Prohibited Use
9.1 You may use the Platform only for personal, lawful investing activities.
9.2 You shall not:
(a) reverse-engineer the platform;
(b) scrape or extract research content;
(c) re-sell or re-distribute signals;
(d) engage in algorithmic trading using Platform API;
(e) use the Platform for unlawful or manipulative trading.
(f) impersonate any person or entity or misrepresent your affiliation;
(g) transmit any viruses, malware, or malicious code;
(h) interfere with or disrupt the Platform or servers;
(i) create multiple accounts to circumvent restrictions or abuse promotional offers.
9.3 Additional Prohibited Activities
You shall not:
(a) Use the Platform to engage in wash trading, circular trading, or market manipulation;
(b) Share your account credentials with third parties or allow unauthorized access;
(c) Create fake accounts or use bots to manipulate Platform features;
(d) Attempt to circumvent subscription paywalls or access controls;
(e) Use the Platform for money laundering, terrorist financing, or other financial crimes;
(f) Engage in pump-and-dump schemes or coordinate trading based on Platform signals;
(g) Reverse-engineer, decompile, or extract proprietary algorithms or models;
(h) Use automated scripts to scrape research content, signals, or data;
(i) Sublicense, resell, or create derivative works from Platform or Research Services;
(j) Harass, abuse, or defame other users, AIGSPL, the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research, or their representatives;
(k) Submit false information during registration, KYC, or subscription process;
(l) Attempt to gain unauthorized access to other users' accounts or data.
9.4 Consequences of Violation
Violation of these prohibited uses may result in:
(a) Immediate suspension or termination of your account;
(b) Forfeiture of any paid subscriptions without refund;
(c) Legal action and recovery of damages;
(d) Reporting to law enforcement or regulatory authorities;
(e) Blacklisting from future Platform access.
9.5 Reporting Violations
If you become aware of any violations of these Terms by other users, please report to support@goalpha.in.
10. Intellectual Property
10.1 All trademarks (“GoAlpha”), user interface elements, workflow designs and software components belong to AIGSPL or licensors.
10.2 All research content, signals, reports and model outputs etc. belong to the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research.
11. Risks & Disclaimers
11.1 Research is prepared, reviewed, approved, and published only by the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research. GoAlpha/AIGSPL is not involved in research creation, analysis, approval, supervision, or compliance, and assumes no responsibility under SEBI (Research Analyst) Regulations.
11.2 AIGSPL provides only technology; the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research provides only research; neither guarantees accuracy, timeliness or profitability.
11.3 Neither AIGSPL nor the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research has any fiduciary duty to you. You are solely responsible for evaluating the suitability of any research, signals, or information before making investment decisions.
11.4 Specific Investment Risks
You acknowledge and accept the following risks:
(a) Market Risk: Securities prices fluctuate due to market conditions, economic factors, and sentiment. You may lose your entire investment.
(b) Liquidity Risk: You may not be able to buy or sell securities at desired prices or times, especially in illiquid stocks.
(c) Credit Risk: Issuers of debt securities may default on interest or principal payments.
(d) Concentration Risk: Portfolios may be concentrated in specific sectors, stocks, or strategies, increasing volatility.
(e) Regulatory Risk: Changes in laws, regulations, or tax treatment may adversely affect investments.
(f) Model Risk: Quantitative models are based on historical data and assumptions that may not hold in the future.
(g) Execution Risk: Time delays between signal generation and your execution may result in price slippage.
(h) Leverage Risk: If you use margin or leverage in your broker account, losses can exceed your initial investment.
11.5 Research Limitations
(a) Research signals may be generated by algorithms and models that have inherent limitations and biases.
(b) Past backtested performance does not guarantee future results. Actual results may differ significantly.
(c) Research is based on publicly available information and may not account for corporate actions, news, or events occurring after publication.
(d) Research Provider's research methodology, assumptions, and models are proprietary and not fully disclosed.
(e) Research signals are time-sensitive and may become outdated quickly in volatile markets.
(f) Not all research recommendations will be profitable; some will result in losses.
11.6 Not Personalized Advice
(a) Research Services are NOT personalized investment advice tailored to your specific financial situation, goals, risk tolerance, or tax status.
(b) You should consult a SEBI-registered Investment Adviser for personalized advice.
(c) You are solely responsible for determining whether any research or signal is appropriate for your situation.
11.7 Tax Implications
(a) Investment gains are subject to capital gains tax, securities transaction tax, and other levies as per Income Tax Act.
(b) We do not provide tax advice. Consult a tax professional regarding your obligations.
(c) You are responsible for reporting and paying all applicable taxes on your investments.
11.8 No Guaranteed Returns
(a) Neither AIGSPL nor the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research guarantees any returns, profits, or performance levels.
(b) Projections, forecasts, or expected returns are hypothetical and not guarantees.
(c) Investment returns depend on numerous factors beyond our control.
11.9 Broker-Related Risks
(a) Your broker may experience technical failures, insolvency, or regulatory actions affecting your ability to trade.
(b) Brokerage fees, taxes, and charges will reduce your net returns.
(c) We are not responsible for broker actions, errors, or disputes.
(d) Connectivity, data accuracy, delays or outages arising from the Broker Gateway are outside the control of AIGSPL.
11.10 Data and Technology Risks
(a) Market data feeds may be delayed, inaccurate, or incomplete.
(b) Platform outages or technical failures may prevent you from accessing information when needed.
(c) Cybersecurity threats could compromise data or Platform availability.
11.11 Risk Acknowledgment
By using Platform/GoAlpha, you explicitly acknowledge that you:
- Understand all risks described in this Section 11;
- Have independently assessed their own financial capacity and risk tolerance for securities investment;
- Will not invest funds you cannot afford to lose;
- Accept full responsibility for all investment decisions;
- Will not hold AIGSPL or the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research liable for investment losses.
12. Liability Limitation
12.1 AIGSPL is not liable for:
indirect, consequential, incidental, punitive damages;
data vendor inaccuracies;
broker execution errors;
losses arising from investment decisions.
12.2 The aggregate liability of AIGSPL under these Terms shall not exceed the greater of: (a) ₹25,000 (Rupees Twenty-Five Thousand); or (b) the total fees paid by you to AIGSPL (towards Platform Services) in the preceding 12 months.
12.3 You agree to indemnify, defend, and hold harmless AIGSPL, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your use or misuse of the Platform; (c) your violation of any rights of third parties; (d) your investment decisions or trading activities.
13. Termination
13.1 We may suspend or terminate your access for:
violation of Terms;
legal/regulatory requirement;
fraudulent behaviour.
13.2 You may close your account anytime via settings.
13.3 Termination Process
(a) AIGSPL will provide notice of termination via email to your registered email address, except where immediate termination is required by law or for security reasons.
(b) Upon termination, your access to Research Services and premium Platform features will cease immediately.
(c) No refunds will be provided for unused subscription periods (limited to Platform features) in case of termination for violation of Terms.
13.4 User-Initiated Account Closure
(a) You may request account closure through account settings or by emailing support@goalpha.in.
(b) Account closure requests will be processed within 7 business days.
(c) Unused subscription amounts may be refunded on a pro-rata basis subject to the applicable refund policy.
(d) You must unlink all broker accounts before closing your account.
13.5 Data Handling Post-Termination
(a) Upon account closure or termination:
- Your login credentials will be immediately deactivated;
- Platform Data will be archived and retained for statutory prescribed period(s);
- KYC Data will continue to be retained by the Research Provider(s)- the SEBI registered Research Analyst responsible for issuing the research as per regulatory requirements;
(b) Certain data (transaction logs, audit trails, consent records) cannot be deleted due to legal/regulatory obligations.
(c) Communications and notices may still be sent regarding statutory or regulatory matters after account closure.
(d) Execution metadata and audit logs may be retained as required under applicable law.
13.6 Effects of Termination
Upon termination or closure:
(a) All rights granted to you under these Terms immediately cease;
(b) Sections that by nature should survive (including Sections 10, 11, 12, 19, 25) continue to apply;
(c) You remain bound by confidentiality and non-redistribution obligations.
13.7 No Liability for Termination
AIGSPL/GoAlpha shall not be liable to you or any third party for termination of your access to the Platform in accordance with these Terms.
14. Regulatory Cooperation
AIGSPL may disclose Platform Data or metadata to SEBI, FIU-IND, law enforcement agencies, or any authority empowered under applicable law. AIGSPL does not possess or store KYC documents. AIGSPL may possess and retain broker-provided execution metadata, consent records and transaction logs as required for audit, dispute resolution and regulatory compliance.
15. Service Availability & Platform Performance
15.1 The Platform is provided on an "as-is" and "as-available" basis. While we strive to maintain continuous service, we do not guarantee uninterrupted, timely, secure, or error-free operation.
15.2 We reserve the right to modify, suspend, or discontinue any feature or service (temporarily or permanently) with or without notice.
15.3 Scheduled maintenance and upgrades will be notified in advance where reasonably possible.
15.4 We are not liable for any loss or damage arising from service interruptions, downtime, or unavailability.
16. Third-Party Services and Content
16.1 The Platform integrates with third-party services including but not limited to:
Market data providers
Payment gateways and processors
KYC service providers
Broker connectivity is provided through a Broker Gateway. Your interactions with the Gateway or your broker are governed by their respective terms and policies, and GoAlpha is not responsible for any aspect of such third-party services.
The Broker Gateway controls authentication, execution and broker-side data provisioning. GoAlpha does not influence or intervene in broker decision-making or execution outcomes.
Analytics and cloud service providers
16.2 Your use of third-party services is subject to their respective terms and conditions and privacy policies.
16.3 We do not endorse, warrant, or assume responsibility for any third-party services, their content, accuracy, or performance.
16.4 Third-party links or integrations are provided for convenience only. We are not liable for any losses arising from your interaction with third-party services.
We again reiterate that Broker connectivity is provided through a Broker Gateway. Your interactions with the Gateway or your broker are governed by their respective terms and policies, and GoAlpha is not responsible for any aspect of such third-party services.
17. Electronic Communications and Notices
17.1 By using the Platform, you consent to receive communications from us electronically, including via email, SMS, push notifications, in-app messages, or posting on the Platform.
17.2 You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing, in accordance with the Information Technology Act, 2000.
17.3 Notices sent to your registered email address or mobile number shall be deemed delivered within 24 hours of transmission.
17.4 It is your responsibility to maintain accurate and current contact information in your account settings.
18. Monitoring and Security
18.1 We reserve the right to monitor Platform usage, user activity, and transactions for purposes of:
Ensuring compliance with these Terms
Preventing fraud, money laundering, and illegal activities
Maintaining platform security and integrity
Improving user experience
Meeting regulatory obligations
18.2 You acknowledge that any content you transmit or activity you perform on the Platform may be monitored in accordance with our Privacy Policy and applicable laws.
18.3 We implement reasonable security measures but cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your login credentials.
18.4 You must immediately notify us of any unauthorized access to your account or any security breach. We are not liable for losses arising from your failure to maintain credential security or promptly report unauthorized access.
19. Dispute Resolution and Arbitration
19.1 In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Platform, the parties shall first attempt to resolve the matter through good faith negotiations.
19.2 If the dispute cannot be resolved within 30 days of written notice, either party may refer the matter to arbitration under the Arbitration and Conciliation Act, 1996.
19.3 The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. If parties cannot agree, the arbitrator shall be appointed in accordance with the Act.
19.4 The seat and venue of arbitration shall be Bengaluru, Karnataka, and proceedings shall be conducted in English.
19.5 The arbitrator's decision shall be final and binding on both parties, subject to applicable law.
19.6 Nothing in this clause shall prevent either party from seeking interim or injunctive relief from courts of competent jurisdiction.
20. Force Majeure
20.1 AIGSPL/GoAlpha shall not be liable for any failure or delay in performing obligations under these Terms due to events beyond reasonable control, including but not limited to:
Acts of God (earthquakes, floods, storms)
War, terrorism, civil unrest
Government actions, regulatory changes
Pandemics or epidemics
Power failures, internet outages
Cyber-attacks, hacking incidents
Failure of third-party services or infrastructure
20.2 During force majeure events, the affected party's obligations shall be suspended for the duration of the event.
20.3 If a force majeure event continues for more than 30 consecutive days, either party may terminate the affected services upon written notice.
21. Assignment and Transfer
21.1 You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.
21.2 We may assign or transfer our rights and obligations under these Terms to any affiliate, subsidiary, or successor entity, or in connection with a merger, acquisition, corporate reorganization, or sale of assets.
21.3 Any attempted assignment in violation of this clause shall be null and void.
22. Severability
22.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable.
22.2 If modification is not possible, the invalid provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
22.3 The invalidity of any provision shall not affect the validity or enforceability of any other provision.
23. Waiver
23.1 No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
23.2 Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
23.3 Any waiver must be in writing and signed by an authorized representative.
24. Entire Agreement
24.1 These Terms, together with the Privacy Policy, Risk Disclosure Statement, and any other policy documents referenced herein, constitute the entire agreement between you and AIGSPL regarding the use of the Platform.
24.2 These Terms supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral, relating to the subject matter hereof.
25. Governing Law & Jurisdiction
25.1 These Terms are governed by the laws of India.
25.2 Courts at Bengaluru, Karnataka shall have exclusive jurisdiction.
26. Survival
26.1 Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to:
Intellectual Property (Section 10)
Liability Limitation (Section 12)
Indemnification obligations
Dispute Resolution (Section 19)
Governing Law (Section 25)

28. Changes to Terms
28.1 We reserve the right to modify these Terms at any time. Updated Terms will be posted on the Platform with a revised "Last Updated" date.
28.2 Material changes will be notified to you via email or prominent notice on the Platform at least 7 days before they become effective.
28.3 Your continued use of the Platform after the effective date of modified Terms constitutes your acceptance of the changes.
28.4 If you do not agree to the modified Terms, you must discontinue use of the Platform and may close your account.
